These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and RabbitDawn Technologies ("RabbitDawn," "we," "us," or "our"), a company registered in Ajman Free Zone, United Arab Emirates.
By accessing our website at rabbitdawn.com (the "Site") or using any of our software products, APIs, cloud services, or related offerings (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.
RabbitDawn Technologies provides the following types of services:
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with reasonable notice where practicable.
You must be at least 18 years of age and capable of forming a binding contract to use our Services. By using the Services, you represent and warrant that you meet these requirements. If you are using the Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.
All prices for our Services are listed on our Site or communicated to you via a service agreement. Transactions are processed in AED (United Arab Emirates Dirham) unless otherwise specified in a written agreement. Prices are exclusive of applicable taxes unless stated otherwise.
We accept payments via credit/debit cards, bank transfers, and other payment methods as indicated on our Site. By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge the applicable fees.
For subscription-based Services, you authorize us to charge your payment method on a recurring basis (monthly or annually, as selected). You may cancel your subscription at any time by contacting us.
If payment is not received by the due date, we reserve the right to suspend or restrict access to the Services until the outstanding balance is settled. We may also charge reasonable late fees as permitted by applicable law.

All content, features, and functionality of the Services — including but not limited to software, code, text, graphics, logos, trademarks, and documentation — are owned by RabbitDawn Technologies or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from our intellectual property without our prior written permission.
You retain ownership of any content or data you submit to the Services ("Your Content"). By submitting Your Content, you grant us a limited, non-exclusive license to use, process, and store it solely for the purpose of providing the Services to you. We will not sell or share Your Content with third parties except as described in our Privacy Policy.
We strive to maintain high availability of our Services. However, we do not guarantee uninterrupted or error-free operation. The Services may be subject to scheduled maintenance, updates, or unforeseen technical issues. We will make reasonable efforts to provide advance notice of planned downtime.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and title.
We do not warrant that the Services will meet your specific requirements, operate without interruption, be timely, secure, or error-free, or that defects will be corrected.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RABBITDAWN TECHNOLOGIES, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
Our total aggregate liability to you for all claims arising from or related to the Services shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.
You agree to defend, indemnify, and hold harmless RabbitDawn Technologies, its directors, employees, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any rights of a third party.
We may terminate or suspend your access to the Services, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Services will immediately cease.
You may terminate your account at any time by contacting us at hello@rabbitdawn.com. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of the Emirate of Ajman, UAE, unless otherwise required by applicable law.
Before filing a formal legal claim, you agree to first attempt to resolve the dispute informally by contacting us at hello@rabbitdawn.com. We will try to resolve the dispute within 30 business days. If informal resolution is unsuccessful, either party may pursue formal proceedings in accordance with Section 13.
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and may notify you via email or through the Services. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
These Terms, together with the Privacy Policy and Service Delivery Policy, constitute the entire agreement between you and RabbitDawn Technologies regarding the use of the Services.
